Terms of Use & Clinician Agreement

Important clinical boundary
Somatic Compass is an educational clinical-reasoning tool for trained clinicians. It does not diagnose, measure physiology, determine readiness, prescribe treatment, or make clinical decisions. The clinician remains responsible for direct assessment and every clinical decision.
Somatic Pulse
Somatic Pulse is a clinician-controlled visual and optional audio bilateral-stimulation presentation tool, including Living Forms, Light Bars, adjustable movement and presentation settings, Earth backgrounds, and temporary therapist-created remote sessions. It does not provide a complete EMDR protocol, clinical monitoring, readiness assessment, treatment recommendation, emergency service, or substitute for training, informed consent, direct observation, or professional judgment. No claim of FDA clearance, approval, clinical equivalence, or a particular treatment outcome is made.
You remain responsible for assessment, informed consent, client readiness, accessibility, pacing, monitoring, intervention selection, emergency planning, and deciding whether to begin, continue, modify, or discontinue BLS. You are also responsible for selecting and adjusting modality, speed, width, duration, intensity, audio, and visual effects; pausing or stopping promptly; and maintaining a clinically appropriate alternative if a device, network, browser, audio system, or remote session fails. During the initial launch, client-facing links are temporary, may be used only with adults age 18 or older, and must be shared only with the intended participant.
1. Agreement to these Terms
These Terms of Use & Clinician Agreement (“Terms”) form a binding agreement between you and Somatic Compass LLC (“Somatic Compass,” “we,” “us,” or “our”). They govern your access to and use of the Somatic Compass application, website, audio, worksheets, downloads, preview features, communications, and related services (collectively, the “Service”).
You accept these Terms through the affirmative acceptance process presented when you create an account or when renewed acceptance is required. You must review the linked Terms, Privacy Notice, and Electronic Communications, Records & Signatures Consent, select the unchecked acceptance box, and activate the labeled acceptance button. Merely viewing a public page or interactive preview does not create a paid subscription. If you use the Service for an organization, you represent that you have authority to bind that organization. If you do not agree, do not create an account or use restricted Service features.
2. Intended use and what Somatic Compass is
Somatic Compass is a clinician-facing educational and clinical-reflection tool for EMDR-trained mental-health professionals. It helps clinicians organize clinician-selected observations, consider multiple nervous-system-informed working possibilities, and explore possible support considerations within the broader therapeutic-processing picture.
The Service may provide general educational content, structured prompts, clinician-selected pathways, tentative hypotheses, examples, visual frameworks, and possible considerations. It does not diagnose clients, measure physiology, determine a nervous-system state, select treatment, or replace professional judgment. It is not an electronic health record, clinical documentation platform, utilization-review tool, or substitute for professional services. No statement in these Terms makes a regulatory classification or represents FDA clearance or approval.
3. What Somatic Compass does not do
Somatic Compass does not independently observe a client; verify the accuracy or completeness of information; diagnose or rule out a nervous-system state, dissociation, or any medical or mental-health condition; measure physiology; determine readiness; establish whether a client is inside or outside a window of tolerance; perform risk assessment; prescribe treatment; select an intervention; direct continuation or cessation of processing; or guarantee an outcome.
Any wording such as “may,” “might,” “possibility,” “consider,” “working hypothesis,” “support,” or “direction considered” identifies material for clinician reflection. It is not a finding, score, recommendation, authorization, standard of care, or instruction to act.
4. The clinician selects, applies, and interprets—always
You—not the Service—observe, select, apply, and interpret all information. The Service organizes information you choose and may display general content associated with those selections. It does not know the client, establish the meaning of a cue, or make the clinical judgment.
You remain solely responsible for direct assessment; informed consent; case conceptualization; differential considerations; treatment planning; target selection; pacing; BLS; intervention choice; monitoring; documentation; consultation; supervision; crisis response; referral; continuity of care; and every other professional decision or act. You agree not to represent to a client, employer, board, court, payer, or third party that Somatic Compass diagnosed a client, determined a state, approved treatment, or “told” you what to do.
5. No medical, mental-health, supervisory, or consultative relationship
The Service provides general education, not medical advice, mental-health treatment, psychotherapy, supervision, formal consultation, legal advice, or individualized professional advice. Access to or communication through the Service does not create a therapist-client, physician-patient, consultant-consultee, supervisor-supervisee, fiduciary, or other professional relationship with Somatic Compass LLC, Kathryn Dietzway, any contributor, or any listed independent consultant.
No response, prompt, resource, directory listing, feedback communication, or educational example should be understood as assuming responsibility for your client or your professional practice.
6. Not a substitute for training, supervision, consultation, or judgment
Use of Somatic Compass does not constitute or replace EMDR basic or advanced training; satisfy continuing-education, certification, consultation, or supervision requirements; confer competence, credentialing, certification, or authorization; establish fidelity to EMDR or another model; or expand your lawful scope of practice.
You are expected to practice only within your education, training, competence, license, ethics, workplace policies, and applicable law; maintain appropriate professional consultation and supervision; evaluate when clinical complexity exceeds your competence; and use authoritative protocols, manuals, and professional resources rather than relying on this Service as a sole source.
7. Eligibility, United States availability, and professional representations
Clinician accounts are offered initially to adults practicing in the United States who are licensed mental-health professionals, legally supervised clinicians acting within their permitted scope, or other professionals expressly authorized by Somatic Compass, and who have completed or are currently completing relevant EMDR basic training. By creating or using an account, you represent that you are at least 18; the professional and training information you provide is accurate; your license, registration, supervision, or other authority is in good standing where required; and your use complies with the rules of every jurisdiction in which you practice. You represent that you possess the licenses, training, supervision, and professional competence required to use each selected feature, including appropriate EMDR and BLS training where applicable.
For the initial launch, the treating clinician may use a therapist-controlled remote BLS presentation only with an adult client age 18 or older when the clinician determines that use is clinically appropriate and obtains any authorization and informed consent required by law, professional standards, workplace policy, and the circumstances. Remote Somatic Pulse links may not be used with minors. This remote-link restriction does not prohibit a clinician from displaying therapist-controlled BLS from the clinician’s own screen when otherwise lawful and clinically appropriate. The client does not create an account or control the session through the client link.
The Service is not offered to the general public for self-directed treatment, to clients seeking care from Somatic Compass, to untrained individuals, or for emergency assistance. We may request additional information, restrict features, or suspend access, but we do not undertake to verify credentials and do not endorse a user merely by permitting access.
8. Privacy, de-identification, and prohibited client information
Do not enter Protected Health Information (“PHI”), personally identifiable client information, or information that could reasonably identify a client. Prohibited information includes names or identifying initials; precise dates; contact information; addresses or geographic detail smaller than a state; photographs or recordings; account, record, or case numbers; unique identifiers; and narratives containing a combination of details that could identify a person.
Use only broad, appropriately de-identified, hypothetical, or composite information. You are responsible for determining whether information is sufficiently de-identified and for complying with HIPAA, state privacy law, professional confidentiality rules, informed-consent duties, organizational policy, and contractual obligations.
Somatic Compass is not offered as an electronic health record or designated HIPAA documentation system. We do not enter into a Business Associate Agreement merely because you use the Service. You must not use the Service in a manner that would require Somatic Compass LLC to act as your HIPAA business associate unless a separate written agreement expressly says otherwise.
9. Temporary workspace and exports
The clinical-reflection workspace is designed to remain temporary in the current browser tab and is not intentionally submitted as part of account registration, product feedback, or analytics. Technology can fail, and no promise of perfect deletion, confidentiality, availability, or recovery is made. Do not treat the temporary design as permission to enter identifying information.
When you copy, print, download, screenshot, save, transmit, or move material outside the temporary workspace, you create a new copy outside our control. An export is not automatically a complete clinical record or assessment. You are responsible for reviewing it and for protecting, storing, documenting, disclosing, and disposing of it in accordance with law, ethics, informed consent, and workplace policy.
10. No emergency, crisis, or risk-assessment service
Somatic Compass is not monitored for emergencies and does not provide crisis intervention, suicide or violence risk assessment, mandatory-reporting guidance, emergency consultation, or real-time clinical support. Never submit an emergency communication through the Service or delay emergency action while using it.
If you or another person may be in immediate danger, contact 911 or the appropriate local emergency service. In the United States, the 988 Suicide & Crisis Lifeline may be reached by calling or texting 988. Clinicians remain responsible for their own emergency protocols, risk assessment, reporting obligations, safety planning, and continuity of care.
11. Accounts, passwords, and access security
You agree to provide accurate account information; keep passwords, access tokens, client-session links, and registered devices secure; use account access only for yourself unless an organizational plan expressly permits otherwise; promptly report suspected compromise; and accept responsibility for activity occurring through your credentials.
You may not share account access, allow another person to impersonate you, circumvent controls, probe security, use automated extraction, interfere with operation, introduce malicious code, or attempt unauthorized access. We may suspend or terminate access when we reasonably believe there is misuse, credential sharing, inaccurate professional information, a security risk, unlawful conduct, or a violation of these Terms.
12. Preview and evolving features
A public interactive preview may provide limited functionality without an account and is not intended for unrestricted clinical use. Preview or newly introduced features may change, be restricted, or be discontinued. The Service may experience errors, interruptions, compatibility limitations, or unexpected behavior.
You should maintain independent clinical workflows and should not rely on the Service for preservation of information, documentation, crisis response, uninterrupted availability, or a clinical outcome.
13. Trial, subscriptions, renewals, cancellation, and refunds
Eligible new clinician accounts receive one 14-day trial of complete access. No payment card is required for the trial, the trial does not automatically convert to a paid subscription, and no subscription charge occurs unless you later make an affirmative purchase. When the trial ends, restricted features may pause until you subscribe.
The planned website subscription options are US $14.99 per month or US $149.99 per year, plus applicable taxes. Before any purchase, checkout will display the current price, billing interval, included access, automatic-renewal terms, and cancellation method. By completing a paid purchase, you authorize the disclosed recurring charge until cancellation.
You may cancel a subscription at any time through the available account or payment-management method. Cancellation prevents the next renewal, and access ordinarily continues through the end of the current paid monthly or annual term. Account deletion is separate from subscription cancellation and does not itself cancel a subscription processed by a third party.
Subscription fees are generally nonrefundable, and partial billing periods are not prorated, except where required by law. If you experience a material technical or billing problem, contact kat@somaticcompass.app. Somatic Compass may consider refund requests individually but does not guarantee that a refund will be issued. We may change future pricing or plans with notice required by applicable law.
14. Limited license
Subject to compliance with these Terms, Somatic Compass LLC grants you a limited, personal, revocable, nonexclusive, nontransferable, nonsublicensable right to access and use the Service for your own lawful professional education and clinical reasoning. No ownership interest is transferred.
Any permission to print or download a resource is limited to your personal professional use unless the resource states otherwise. You may not make resources available in a shared drive, course, training, publication, product, group practice library, or commercial service without written permission.
15. Intellectual property and prohibited competitive use
The Service’s original selection, coordination, arrangement, clinical-reasoning pathway, wording, visual organization, interfaces, graphics, audio, worksheets, downloads, branding, code, and other original material are owned by Somatic Compass LLC, its founder, or licensors and are protected by copyright, trademark, trade-secret, and other laws.
Except where applicable law permits or written permission is provided, you may not copy, reproduce, record for redistribution, republish, distribute, sell, license, adapt, translate, scrape, systematically extract, reverse engineer, create derivative materials, remove attribution, use branding, or use any part of the Service to create, train, test, market, or improve a competing product, application, model, course, framework, worksheet, or commercial resource.
Somatic Compass™, the Somatic Compass logo, the HALO Practice, and other names or marks identified in the Service may be protected marks or proprietary identifiers. Use of “™” does not by itself represent federal registration. No license to use a name, logo, or mark is granted.
16. Third-party frameworks, sources, and trademarks
The Service uses original wording and synthesis informed by published EMDR, AIP, somatic, trauma, Window of Tolerance, Polyvagal-informed, mindfulness, and related frameworks. Citations acknowledge relevant theory, evidence, or terminology. They do not mean that an outside author created, approved, sponsored, or endorsed Somatic Compass.
Third-party publications, links, names, protocols, trademarks, and copyrights remain the property of their respective owners. The inclusion of a source does not make every Somatic Compass feature a validated application of that source or place complementary frameworks on the same evidentiary footing as EMDR. You are responsible for consulting authoritative sources and respecting third-party rights.
17. User content and feedback
You retain any rights you hold in lawful feedback or nonclinical material you submit. You grant Somatic Compass LLC a worldwide, perpetual, irrevocable, nonexclusive, transferable, sublicensable, royalty-free license to use, reproduce, adapt, analyze, publish, and incorporate feedback, suggestions, feature requests, and usability observations without compensation or public attribution to you.
You represent that you have the right to submit the material and that it contains no PHI, identifying clinical information, confidential employer information, unlawful material, or third-party content you lack permission to share. We may remove or decline material but are not obligated to monitor submissions.
18. Independent consultants and external resources
Any consultant directory, external practice, article, product, website, or service is provided for convenience and informational purposes. Listed consultants are independent professionals, not employees, agents, contractors, partners, or representatives of Somatic Compass LLC unless expressly stated otherwise. They set their own fees, availability, scope, policies, and terms.
We do not control or guarantee a third party’s credentials, services, availability, advice, security, content, or outcomes, and a listing is not a referral, endorsement, supervision arrangement, or warranty. Any engagement and exchange of client information occurs solely between you and the third party under your own professional responsibilities.
19. Service changes, maintenance, and termination
We may modify, correct, update, restrict, suspend, or discontinue any part of the Service; impose or change reasonable limits; or terminate access, with or without notice where permitted. We do not guarantee that a feature, price, resource, preview, or integration will remain available.
You may stop using the Service at any time. Provisions that by their nature should survive—including intellectual property, feedback rights, disclaimers, liability limits, indemnification, dispute terms, and restrictions on previously obtained material—survive termination.
20. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” SOMATIC COMPASS LLC AND ITS OWNERS, OFFICERS, CONTRIBUTORS, LICENSORS, AND SERVICE PROVIDERS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, SECURITY, RELIABILITY, AVAILABILITY, AND CLINICAL APPROPRIATENESS.
We do not warrant that the Service will be uninterrupted, error-free, secure, free from harmful components, compatible with a device or workflow, or produce a particular educational, professional, or clinical result. Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
21. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SOMATIC COMPASS LLC AND ITS OWNERS, OFFICERS, CONTRIBUTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA, REVENUE, PROFITS, GOODWILL, OR OPPORTUNITY; OR CLAIMS ARISING FROM CLINICAL DECISIONS, CLIENT OUTCOMES, PROFESSIONAL DISCIPLINE, LICENSURE, PRIVACY, CONFIDENTIALITY, UNAUTHORIZED EXPORTS, THIRD-PARTY SERVICES, OR SERVICE INTERRUPTION.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID SOMATIC COMPASS LLC FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US $100.
These limits apply regardless of legal theory and even if a remedy fails of its essential purpose, but they do not apply to liability that applicable law prohibits us from limiting.
22. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Somatic Compass LLC and its owners, officers, contributors, licensors, and service providers from claims, demands, proceedings, liabilities, damages, judgments, penalties, losses, costs, and reasonable attorneys’ fees arising from or related to: your clinical services or professional decisions; your breach of these Terms; your violation of law, ethics, or another person’s rights; your submission of PHI or identifying information; your exports or disclosures; your content; or misuse of the Service.
We may control the defense of a covered matter with counsel of our choosing, and you agree to cooperate. You may not settle a covered claim in a manner that admits fault by or imposes obligations on an indemnified party without written consent.
23. Governing law and dispute process
These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law rules. Before filing a formal claim, each party agrees to send written notice describing the dispute and requested resolution and to attempt in good faith for at least 30 days to resolve it informally.
Unless applicable law requires otherwise, any court proceeding arising from these Terms or the Service must be brought exclusively in a state or federal court serving Lafayette Parish, Louisiana, and each party consents to personal jurisdiction and venue there. Either party may seek temporary or injunctive relief to protect security or intellectual-property rights. Any arbitration clause or class-action waiver should be added only after review by qualified counsel and presentation through a legally sufficient acceptance process.
24. Copyright concerns
If you believe material available through the Service infringes a copyright or other intellectual-property right, email kat@somaticcompass.app with your contact information, identification of the protected work, the location and description of the challenged material, a statement of your good-faith belief, and documentation reasonably sufficient for review. We may remove or restrict material while investigating.
25. Changes to these Terms
We may revise these Terms as the Service develops. The effective date and version will be updated. When changes are material, we may provide notice through the Service or email and require renewed acceptance. Your continued use after the effective date of an accepted revision constitutes agreement to it. If you do not agree, discontinue use.
26. General legal terms
These Terms, the Privacy Notice, the Electronic Communications, Records & Signatures Consent, and any purchase-specific terms are the entire agreement concerning the Service and supersede prior discussions on that subject. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. Failure to enforce a provision is not a waiver.
You may not assign these Terms without written consent. We may assign them in connection with a merger, reorganization, financing, sale of assets, or transfer of the Service. Headings are for convenience. “Including” means “including without limitation.” Electronic acceptance and records have the same effect as paper where permitted by law.
27. Apple App Store distribution
If Somatic Compass is downloaded through Apple’s App Store, Apple’s Standard Licensed Application End User License Agreement applies to the downloaded application unless a valid custom license is presented through App Store Connect. These Terms separately govern the Somatic Compass Service, professional-use conditions, accounts, content, and related features. Nothing in these Terms expands or conflicts with the usage rules applicable to an App Store application.
Apple is not responsible for operating, maintaining, supporting, or providing the Somatic Compass Service and is not responsible for clinical, privacy, regulatory, product, or third-party claims relating to it. Somatic Compass LLC—not Apple—is responsible for the Service and for responding to such claims, subject to these Terms and applicable law.
Digital features or subscriptions purchased in an iOS or iPadOS application will use Apple In-App Purchase when required. Apple processes those payments under the user’s Apple account. Renewal terms, price, and included access will be shown before purchase. Users can manage or cancel an Apple subscription in their Apple account settings. Deleting a Somatic Compass account does not automatically cancel an Apple subscription, and the user should cancel the subscription separately. Refund requests for Apple-processed purchases are handled under Apple’s applicable policies.

By accepting these Terms, you confirm that you have read and understood them; are using Somatic Compass for professional educational and clinical-reasoning support; will use only broad, de-identified information; and remain responsible for your own professional judgment and clinical services.
